Terms of Service

Welcome to Vayatu. These Terms of Service ("Terms") govern your access to and use of our services, including chat, DMs, groups, events, business pages, offers, rewards, invites, and related public and signed-in surfaces. By using the services, you agree to these Terms. If you do not agree, do not use the services.

You must be at least 18 years old, able to form a legally binding contract in your jurisdiction, and eligible to use the services where we make them available. Some features or countries may be limited at launch. If you are using the services on behalf of an organization or business, you represent that you have authority to bind that organization or business to these Terms.

You are responsible for activities that occur under your account and for maintaining the confidentiality of your credentials. You agree to provide accurate information and keep it updated. Some features may require additional verification, such as phone verification, eligibility checks, recent login, or app integrity checks. Some rooms, events, invite flows, business surfaces, and offer actions may depend on sign-in, membership, eligibility, or location confirmation. If you manage a business account, you are also responsible for the accuracy of business profile details, visibility settings, and operator access tied to that business.

You may be able to post or submit content through Vayatu, including messages, DMs, group or event content, profile information, business profile details, offer text, social links, images, reports, and other materials. You retain ownership of your content.

You grant us a limited license to host, store, display, and process your content solely to operate, maintain, improve, and secure the services. You are responsible for the content you post or submit. If you publish business pages or offers, you are responsible for their accuracy, legality, availability, and any redemption terms or restrictions tied to them. If you claim an offer, we may issue a code, keep a claim or redemption record, and store a snapshot of core offer terms. Businesses may be limited in changing claimed-offer records after claims exist. We may remove, restrict, review, or preserve content where needed to operate the services, investigate abuse, enforce these Terms, protect users, or comply with law.

You agree not to misuse the services. This includes:

• Harassment, threats, hate, or abusive behavior
• Fraud, scams, misleading promotions, or impersonation
• Posting illegal content or facilitating illegal activity
• Submitting false, abusive, or retaliatory reports
• Attempting to access accounts or data that are not yours
• Scraping, disrupting, reverse engineering, or bypassing access, rate-limit, or security controls
• Misusing offer claims, redemption codes, rewards, invitations, or business tools
• Uploading malware or links intended to harm users

Our Privacy Policy explains how we collect, use, and share information. By using the services, you agree to the Privacy Policy.

Some features may use AI from third-party providers (such as OpenAI or Google Gemini) to help draft, summarize, translate, or organize content, and to support abuse or spam detection.

AI output may be inaccurate, incomplete, or outdated and is provided for general information only. It is not legal, medical, financial, or professional advice. No high-stakes automated decisions: we do not use AI to make solely automated decisions that produce legal or similarly significant effects about you.

You may stop using the services at any time. We may moderate, remove, restrict, hide, suspend, or terminate content, offers, business pages, events, features, or accounts if needed to protect users, investigate reports, address fraud or abuse, comply with law, or enforce these Terms. Account deletion does not guarantee hard deletion of shared or audit-oriented records. If you own or administer an active business profile, you may be required to transfer or close that business before account deletion can be completed.

The services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that chats, events, invites, business pages, offers, rewards, redemptions, or location-based features will always be available, accurate, claimable, redeemable, or error-free. Businesses, not the service, are responsible for their own published promotions, offer compliance, and redemption handling.

To the maximum extent permitted by law, Vayatu will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

We may update these Terms from time to time. If changes are material, we will provide reasonable notice. Continued use after updates means you accept the revised Terms.
